SohoPay Privacy Policy

Node Technology Services, Inc., operating as SohoPayLast Updated: October 14, 2026

1.Introduction

Node Technology Services, Inc. ("SohoPay," "we," "us," or "our") provides technology that lets people and businesses authorize AI agents to make payments, use Purchasing Power, pay merchants, make agent-to-agent (A2A) payments, and settle transactions on supported blockchain networks.

This Privacy Policy explains what personal information we collect, where we obtain it, how we use and disclose it, how long we retain it, and the choices and rights available to you. It applies to SohoPay websites, the account portal, our APIs and Model Context Protocol (MCP) services, account authentication and verification workflows, and related communications (the "Services").

"Purchasing Power" means a spending limit SohoPay makes available to an eligible account under the applicable Purchasing Power Agreement. Additional notices and agreements, including financial privacy notices where required, apply alongside this Privacy Policy.

2.Who This Policy Covers

AI agents are software, not people. Information about an agent may be personal information when it identifies, or can reasonably be linked to, an individual or account holder.

  • Account Holders: individuals who create an account, use Purchasing Power, authorize agents, make or receive A2A payments, or repay obligations.
  • Business Account Representatives: owners, officers, beneficial owners and authorized representatives of businesses using the Services.
  • Agent Operators and Developers: people who configure, operate or integrate AI agents and applications.
  • Merchants: individuals and business representatives accepting payments through SohoPay.
  • Website Visitors and Other Individuals: people who visit our pages or whose information appears in authorized transactions, support requests or compliance records.

3.Information We Collect

3.1Account Creation and Minimum Identity Information

Every individual borrower registering for a SohoPay account is required to provide a mobile phone number, legal name and date of birth. We use a one-time password (OTP) to verify control of the provided phone number. We also collect an optional email address, chosen @handle, SohoPay account and borrower identifiers, account status, and account settings. A verified phone number establishes control of that number, not proof of legal identity. Legal name and date of birth are minimum identity information and do not, by themselves, mean regulatory KYC has been completed. Supported account registration may precede optional bank or external wallet linking, but service and Purchasing Power eligibility remain subject to applicable requirements.

3.2Additional Identity Verification and KYC

Additional identity verification may be required by applicable law, risk, product eligibility, transaction activity or requested Purchasing Power. When required, we may collect residential address, government identification details, identity documents, additional personal information, verification evidence and screening outcomes, directly or through verification providers. Account creation does not automatically establish eligibility for Purchasing Power or restricted services. Business verification is separately addressed below.

3.3Identity Provider, Authentication and Security

SohoPay operates its own identity management and OAuth-based authorization infrastructure. We manage account identities, sign-in sessions, issued authorization credentials and access permissions. External providers may assist with OTP delivery, identity checks and fraud verification, but are not SohoPay's primary account identity provider. We process OTP delivery and attempt records, session and token identifiers, authorization metadata, IP addresses, device and browser information, sign-in timestamps and suspicious activity indicators. Where supported, sign-in may use passkeys; we process public authentication credentials and relevant metadata, while biometric checks to unlock a passkey normally occur locally on the user's device. SohoPay does not receive the device biometric template in that process.

3.4Business Account Information

For businesses, we may collect registered and trading names, registration numbers, addresses, tax or regulatory identifiers, ownership and control details, account permissions, authorized representative information and relevant evidence of beneficial ownership. Applicable KYB and compliance checks may require identification data about owners, officers and controlling persons.

3.5Wallets, Account Addresses and Signing Keys

We distinguish between (a) a user-controlled external wallet, which the user connects and proves control of by signing a message, and (b) a SohoPay-provisioned account address used to execute authorized transactions. We do not require the private key for a user-controlled external wallet. For a SohoPay-provisioned account address, SohoPay operates the relevant signing keys through its controlled signing infrastructure, subject to authorization and security controls. For AI agents, signing credentials may be operated by the agent owner or, where supported, provisioned and operated by SohoPay under the relevant integration model. We process public wallet addresses, network identifiers, verification signatures, transaction hashes, on-chain history and wallet risk indicators. The applicable product agreements describe control and operational responsibility for supported signing arrangements.

3.6AI Agents and Delegated Authorization

We process agent identifiers and names, associated accounts, public credentials and relevant provisioned key records, delegation permissions, approved spending limits, merchant and transaction restrictions, validity periods, revocation events, payment requests, authorization outcomes, transaction status and audit logs. Agents may initiate requests only within the permissions and controls applicable to their integration and account.

3.7MCP, APIs and AI Platforms

When SohoPay is accessed through an MCP client, API or third-party AI platform, we process the requests received by our Services, including authentication information, integration identifiers, requested operations and parameters, transaction outcomes, errors and diagnostic data. External AI platforms may process conversations, prompts or tool calls independently under their own privacy policies. This policy governs SohoPay's own processing.

3.8SohoPay Credit Profile Engine and Purchasing Power Assessment

SohoPay operates its own Credit Profile Engine. It receives, derives and analyzes permitted information from multiple sources to build borrower credit profiles, calculate internal risk scores and classifications, evaluate eligibility, determine or adjust Purchasing Power and monitor credit exposure. Sources may include minimum identity and verification information; account age and status; connected wallet activity and public on-chain transactions; SohoPay payments, A2A transfers and repayment history; outstanding balances and utilization; authorized bank information and financial reports; and fraud, sanctions and compliance results. External providers furnish authorized data or verification results but do not independently determine SohoPay's internal credit profile or Purchasing Power outcome. Assessments may be automated and may change as relevant data changes. Regulatory limitations on data sources and automated decisions continue to apply.

3.9A2A Payments and @Handles

Accounts may be addressed by @handle for agent-to-agent payments. We process handle assignment and change history, temporary reservation of prior handles, payer and payee account and agent identifiers, amounts, timestamps, status, received-value balances and withdrawal destinations. Transaction counterparties may see an @handle, the agent involved and information needed to confirm and complete the payment. We do not display a user's phone number, email address or private wallet balance to other users through the A2A recipient display.

3.10Merchant and Payment Information

We process merchant names, business and contact details, payment destination addresses, applicable fees, transaction values and status, capture receipts, settlement, reconciliation, refund and dispute records.

3.11Repayment Information

We process payment obligations, repayment amounts and due dates, repayment method and source account or wallet, transaction confirmations, missed or late payments, balances and related communications. Repayment sources may be screened and monitored for sanctions and fraud risks where required or permitted.

3.12Bank Account Information (Where Offered)

Where available and authorized by you, bank-linking providers, including Plaid where used, may supply institution name, account type, masked identifiers, account holder information, balances, permitted transaction history, financial account status and eligible reports such as asset or cash-flow reports. The exact information depends on provider products, institution availability and granted permissions. Bank credentials are entered through the provider's supported authentication flow, not directly into SohoPay. Authorized financial information may be analyzed by SohoPay's Credit Profile Engine for eligibility, affordability and risk. Disconnecting a bank may stop future collection but does not necessarily require deletion of previously collected information retained lawfully for credit administration, compliance or disputes.

3.13Fraud Prevention and Compliance

We may process screening results for persons, businesses, linked wallets and repayment sources, plus fraud indicators, duplicate-account signals, transaction monitoring findings, compliance reviews and investigation records.

3.14Technical and Usage Information

We automatically collect IP addresses, approximate location derived from IP, device and browser characteristics, operating system, access times, API routes, request and response metadata, security events, performance metrics and error logs. We do not seek precise GPS location through the described Services.

3.15Communications

We retain support requests, operational messages, emails, feedback, verification notices and other service communications.

4.Sources of Information

Information comes from you; your authorized agents and applications; messaging and verification providers; connected financial data providers; linked wallets and public blockchains; merchants and transaction counterparties; compliance and fraud prevention partners; and automated technical logs generated through use of the Services.

5.How We Use Information

We do not sell personal information or use it for targeted advertising. Credit decisions are not based on protected characteristics in ways prohibited by applicable law. Date of birth may be used for age eligibility and other lawful verification or risk purposes.

6.Automated Decisions

The SohoPay Credit Profile Engine and other automated controls may influence Purchasing Power eligibility and limits, transaction authorization, agent spending restrictions, additional verification and investigation flags. These systems use relevant information outlined in Section 3.8. Where required by applicable law, we provide notices explaining principal reasons for adverse credit decisions and available means to request review or exercise rights related to significant automated decisions. Requests may be sent to privacy@sohopay.xyz. This policy does not replace required credit or adverse action disclosures.

7.Consumer Reports

The regulatory treatment of information obtained from third-party financial data providers depends on the particular product, provider and purpose of use. Where SohoPay obtains a consumer report or uses consumer reporting information for a purpose governed by applicable consumer reporting law, we will comply with applicable authorization, permissible-purpose, notice and adverse-action requirements. Whether and when SohoPay furnishes information to consumer reporting agencies will be disclosed as required by law. A SohoPay-generated internal credit score is not necessarily a score supplied by an external consumer reporting agency.

8.Blockchain Transactions

SohoPay currently supports settlement on Base. Public blockchain records may disclose addresses, transaction values, timestamps and smart contract interactions to anyone and generally cannot be removed by SohoPay. Some payment activity may be handled off-chain with on-chain batch settlement, reducing the information recorded publicly. Do not put personal information into fields that may become public. Blockchain data may be linked to off-chain account data where needed for permitted service purposes.

9.How We Share Information

We do not sell personal information or share it for cross-context behavioral advertising. We may disclose relevant information to infrastructure and cloud providers; managed signing and key infrastructure where applicable; OTP and identity verification providers; bank data providers where authorized; sanctions and fraud prevention providers; node and blockchain services; transaction counterparties; merchants; authorized agents and apps; auditors and professional advisers; parties to permitted corporate transactions; and governmental or legal authorities when required or permitted. Disclosures are limited to information appropriate for the relevant function and governed by applicable contracts and law. Financial privacy restrictions may impose additional limits.

10.Security

We use administrative, technical and organizational safeguards intended to protect account information, financial data, authentication credentials and transactions. Safeguards may include encryption in transit and at rest, role-based access controls, secure token handling, authentication protections, logging, monitoring, signing authorization policies and incident response processes. Users control private keys for their external wallets. SohoPay administers signing keys for its provisioned account addresses and, where applicable, supported agent integrations through controlled key-management processes. Specific hardware-backed protections apply only where deployed. No service can guarantee absolute security.

11.How Long We Keep Information

The retention period varies by information category and legal jurisdiction.

12.Account Closure and Deletion

You may request account closure or deletion of eligible personal information. SohoPay will assess outstanding Purchasing Power, transaction and repayment obligations, lawful retention requirements, fraud prevention needs and unresolved disputes. Account closure does not cancel amounts owed. Where information must be retained, we will explain applicable limitations as required by law.

Depending on residence, applicable law and exemptions, individuals may have rights to access, correct, delete and port personal information, appeal certain decisions and opt out of specified sale, sharing or profiling activities. Some financial information may be subject to different federal privacy requirements or statutory exceptions. We do not sell or share personal information for targeted advertising.

15.Financial Privacy

Where applicable federal or state financial privacy rules require a separate financial privacy notice, we will provide it at the time and in the manner required by law. Financial information sharing is subject to applicable statutory restrictions and permitted exceptions. Required consents for particular financial data uses or disclosures will be collected separately where necessary.

16.SMS and Email

We use verified mobile numbers to send requested OTP messages. Where a user agrees or as otherwise permitted by law, we may send transaction alerts, repayment reminders and other account notifications by SMS or email. Message frequency varies and carrier rates may apply. Optional SMS programs will identify applicable STOP and HELP instructions where supported. We do not share mobile messaging opt-in information with third parties for their independent promotional marketing. Promotional email, if offered, will include legally required unsubscribe mechanisms.

17.Cookies

We may use cookies and similar technologies necessary for sign-in, session security, account preferences and service operation. If optional analytics or other non-essential technologies are used, we will disclose them and offer any controls or consent required by applicable law. We do not use personal information for targeted advertising as described in Section 5.

18.Third-Party Services

The Services may connect with AI platforms, wallets, blockchain networks, banks, merchants and other services. Independent third parties may collect and process information under their own notices. SohoPay is responsible for its own processing and for third-party arrangements to the extent required by applicable law. Review third-party permissions and notices before connecting services.

19.Children

The Services are for individuals aged 18 or older, or the higher age of majority applicable where they live. We do not knowingly open accounts for children. If we learn of information collected in circumstances requiring deletion, we will take appropriate action consistent with legal obligations. Contact privacy@sohopay.xyz with concerns.

Transfers are subject to applicable legal requirements, which may include approved transfer safeguards. Individuals in relevant jurisdictions may have additional rights and legal protections. Requests may be sent to privacy@sohopay.xyz.

21.Security Incidents

We assess security incidents, take appropriate containment and remediation steps, and notify affected individuals or authorities where legally required.

22.Changes to This Policy

We may update this policy as our services and practices evolve. We will post a revised version with an updated date and provide additional notice or obtain consent for material changes where required by applicable law.
